Welcome to TruckTires App. These Terms of Service ("Terms") govern your use of our fleet tire management platform, mobile application, and website (collectively, the "Service"). By accessing or using TruckTires App, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our website, or using our mobile app, you agree to:

• Our Privacy Policy
• All applicable laws and regulations

If you don't agree with these Terms, you may not use Tire Check.

2. Eligibility

To use TruckTires App, you must:

• Be at least 18 years old
• Have the authority to bind your company to these Terms
• Operate or manage a commercial fleet
• Provide accurate registration information

3. Account Registration and Security

3.1 Account Creation

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your login credentials
• All charges incurred through your account
• Your drivers' use of the mobile app

4. Subscription and Payment Terms

4.1 Pricing

Subscription pricing will be determined and communicated to you during the sign-up process. Pricing may vary based on:

• Number of vehicles in your fleet
• Features and integrations selected
• Billing frequency (monthly, annual)

4.2 Free Trial

• We offer a 14-day free trial for new customers
• No credit card required to start trial
• You can cancel anytime during the trial without charge
• Trial automatically converts to paid subscription unless cancelled

4.3 Payment Processing

• All payments are processed securely through Stripe
• You authorize us to charge your payment method on file
• Subscriptions auto-renew unless cancelled
• Failed payments may result in service suspension

4.4 Refunds

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Prorated refunds within 30 days of purchase
• We reserve the right to issue refunds on a case-by-case basis

4.5 Price Changes

• We may change pricing with 30 days' notice
• Existing customers are grandfathered at current rates for 12 months
• You can cancel before price increase takes effect

5. Acceptable Use Policy

5.1 Permitted Use

You may use TruckTires App to:

• Manage tire inspections for your commercial fleet
• Track tire costs and performance
• Generate reports and analytics
• Integrate with your existing fleet management systems

5.2 Prohibited Activities

You may NOT:

• Reverse engineer, decompile, or disassemble the Service
• Use the Service for any illegal purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Scrape, crawl, or data mine our platform
• Resell or redistribute the Service without permission
• Use the Service to compete with TruckTires App
• Share your account credentials with competitors

6. Intellectual Property Rights

6.1 TruckTires App Ownership

We own all rights to:

• The TruckTires App platform, software, and technology
• Our AI models, algorithms, and trade secrets
• Trademarks, logos, and brand materials
• Documentation, guides, and content we create

6.2 Your Data Ownership

You retain ownership of:

• Your company data, vehicle information, and driver records
• Tire inspection photos and notes you upload
• Invoice data and cost records

6.3 License Grant to TruckTires App

By using the Service, you grant TruckTires App a limited license to:

• Store and process your data to provide the Service
• Use tire photos to train and improve our AI models
• Create anonymized, aggregated insights from your data
• Use your company name and logo as a customer reference (with your permission)

7. AI and Data Accuracy Disclaimer

7.1 No Guarantee of Accuracy

• Our AI provides recommendations, not guarantees
• Tire condition analysis may contain errors or omissions
• You are responsible for verifying AI recommendations
• Always follow manufacturer guidelines and DOT regulations

7.2 Professional Judgment Required

TruckTires App is a decision-support tool, not a replacement for:

• Physical tire inspections by qualified mechanics
• Professional judgment and experience
• Compliance with FMCSA, DOT, and safety regulations
• Manufacturer maintenance schedules

8. Limitation of Liability

8.1 "AS-IS" Service

TruckTires App is provided "AS-IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of AI predictions
• Uninterrupted or error-free operation
• Prevention of tire failures or breakdowns

8.2 No Liability for Business Losses

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TruckTires App IS NOT LIABLE FOR:

• Tire failures, blowouts, or roadside breakdowns
• Lost revenue, downtime, or business interruption
• Accidents, injuries, or property damage
• Inaccurate AI predictions or missed defects
• Data loss or corruption
• Third-party integration failures (Samsara, QuickBooks)
• Indirect, incidental, or consequential damages

8.3 Liability Cap

Our total liability to you for any claims arising from your use of TruckTires App shall not exceed the amount you paid us in the 12 months preceding the claim.

8.4 Jurisdictional Limitations

Some jurisdictions don't allow limitation of implied warranties or liability for incidental/consequential damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless TruckTires App and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any laws or regulations
• Tire failures or accidents involving your fleet
• Your data or content uploaded to the Service
• Disputes with your drivers, vendors, or third parties

10. Termination

10.1 Termination by You

• You can cancel your subscription anytime through your account settings
• Cancellation takes effect at the end of your current billing period
• You retain access to data for 30 days after cancellation
• You can export your data before deletion

10.2 Termination by TruckTires App

We may suspend or terminate your account if:

• You violate these Terms
• Your payment method fails repeatedly
• You engage in fraudulent or illegal activity
• You abuse or misuse the Service
• We're required to do so by law

10.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately (unless you cancelled and are in a paid-through period)
• You lose access to your account and data after the grace period
• All outstanding fees become immediately due
• Sections that should survive termination (liability, indemnification, disputes) remain in effect

11. Modifications to the Service

We reserve the right to:

• Modify, suspend, or discontinue any feature of the Service
• Update our AI models and algorithms
• Change system requirements or supported integrations
• Perform maintenance that temporarily interrupts service

We'll provide reasonable notice for material changes, but are not liable for any modifications or interruptions.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at info@trucktires.io to resolve the dispute informally. We'll work in good faith to find a solution within 30 days.

12.2 Binding Arbitration

If we can't resolve disputes informally, you agree to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• Arbitration will be conducted in Houston, Texas (or remotely if both parties agree)
• Each party pays their own attorney fees unless the arbitrator decides otherwise
• The arbitrator's decision is final and binding
• You waive the right to a jury trial or class action lawsuit

12.3 Small Claims Exception

You may bring claims in small claims court if they qualify and remain in that court.

12.4 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and TruckTires App regarding the Service.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

13.3 Waiver

Our failure to enforce any right or provision doesn't constitute a waiver of that right.

13.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations to any successor or affiliate.

13.5 Force Majeure

We're not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, cyberattacks, pandemics, etc.).

14. Changes to These Terms

We may update these Terms from time to time. When we do:

• We'll update the "Last Updated" date at the top
• For material changes, we'll email you 30 days before they take effect
• Continued use of the Service after changes means you accept the new Terms
• If you don't agree, you can cancel your subscription before changes take effect
